AGREEMENT for SALE
Relating to Harewood House, Harewood, Leeds, West Yorkshire LS17 9LG

THIS AGREEMENT is made on the 10th day of April 2025.
BETWEEN—
1. PROPERTY
- The Right Honourable Lord Charles Henry Andrew Wright, The Viscount Kirkwall of Brough Lodge, Fetlar (the "Seller"); AND
- The Right Honourable Lady Josephine Mary Anne Hyacinth Carew, The Countess of Strathmore of Mamhead House, Mamhead.
1. PROPERTY
- The property to be sold is the freehold estate known as Harewood House, Harewood, Leeds, West Yorkshire LS17 9LG (the "Property"), including—
- The principal house, all lodges, outbuildings, cottages, stables, walled gardens, and all other structures within its curtilage;
- All fixtures and fittings not expressly excluded by this Agreement;
- All rights, easements, and appurtenances belonging to the Property.
2. PURCHASE PRICE
- The total purchase price for the Property is £100,000 (one-hundred thousand pounds sterling) (the "Purchase Price").
- The balance of the Purchase Price shall be payable upon Completion.
3. COMPLETION
- Completion shall take place on 10 April 2025 or such other date as may be agreed in writing between the parties (the "Completion Date").
- On Completion, the Seller shall transfer the Property to the Buyer with full title guarantee, free from all mortgages, charges, tenancies, or encumbrances save as disclosed in this Agreement.
4. POSSESSION
- Vacant possession of the Property shall be given to the Buyer on Completion.
- On Completion, the Seller shall deliver to the Buyer all deeds, documents, records, inventories, licences, warranties, and historical material relating to the Property within the Seller's possession or control.
6. WARRANTIES
- The Seller warrants that—
- He has full power and right to sell the Property;
- The Property is free from undisclosed encumbrances or adverse rights;
- There are no subsisting disputes or claims affecting the Property.
- This Agreement shall be governed by and construed in accordance with the law of the Empire of Great Britain.
- The parties submit to the exclusive jurisdiction of the courts of the Empire of Great Britain.
8. PRESERVATION of LEGACY
- The Buyer acknowledges the significance of Harewood House as the ancestral seat of the Wright family and its association with Andrew Wright, 1st Viscount Islington (the "Late Viscount").
- The Buyer covenants with the Seller and his heirs that—
- The name "Harewood House" shall not be changed without the prior written consent of the Seller or his heirs;
- Existing memorials, plaques, portraits, dedications, writings by, or of the Late Viscount located at the Property shall not be removed or relocated without consultation with the Seller or his heirs, save where essential for preservation or safety;
- The legacy of the Late Viscount shall be maintained with dignity and respect within the Property.
9. VISITATION RIGHTS of the WRIGHT FAMILY
- The Buyer covenants that members of the Wright family (being descendants of the Late Viscount, their spouses, and issue) shall have the right to visit Harewood House as private guests, subject to—
- Providing not less than fourteen (14) days' written notice to the Owner or their agent;
- Such visits being exercised reasonably and in good faith, having regard to the Owner’s privacy, events, or commercial use of the Property;
- No right of residency or overnight stay without prior agreement;
- Reasonable access to any family memorials, gravesites, or chapels within the Property.
10. BINDING EFFECT
- The provisions of Clauses 8 and 9 shall bind the Buyer and their successors in title.
- The parties agree that the Seller may register a restriction with HM Government to protect these provisions.
